Syntroper VS Code Extension End User License Agreement (EULA)
This End User License Agreement (“Agreement”) is a legal agreement between Syntroper AI Limited, a company incorporated in New Zealand (“Syntroper”, “we”, “us”, or “our”), and you (“you” or “User”).
This Agreement governs your use of the Syntroper Visual Studio Code Extension (“Extension”).
By installing, accessing, or using the Extension, you agree to be bound by this Agreement. If you do not agree, do not install or use the Extension.
1. License Grant
Subject to your compliance with this Agreement, Syntroper grants you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the Extension solely for your internal or personal use and only for its intended purpose.
All rights not expressly granted are reserved by Syntroper.
2. Restrictions
You must not, and must not permit any third party to:
- Copy, reproduce, distribute, or publicly display the Extension;
- Modify, adapt, translate, or create derivative works of the Extension;
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, underlying ideas, algorithms, or structure of the Extension, except to the extent permitted by applicable law;
- Remove, alter, or obscure any proprietary notices or branding;
- Use the Extension to develop, train, or improve a competing product or service;
- Rent, lease, lend, sell, sublicense, or otherwise transfer the Extension to any third party.
3. Ownership & Intellectual Property
The Extension, including all software, source code, object code, architecture, design, workflows, algorithms, documentation, and all related intellectual property rights, are and shall remain the exclusive property of Syntroper and its licensors.
No ownership rights are transferred to you under this Agreement.
4. Confidentiality
The Extension and any non-public information relating to it constitute confidential and proprietary information of Syntroper.
You agree to:
- Protect such information using reasonable care; and
- Not disclose, publish, or make available any confidential information without Syntroper’s prior written consent.
5. Updates and Changes
Syntroper may, at its sole discretion:
- Provide updates, upgrades, or patches;
- Modify, suspend, or discontinue the Extension or any part of it at any time.
This Agreement applies to all updates unless accompanied by separate terms.
6. Third-Party Services
The Extension may integrate with or rely on third-party services, APIs, or software. Your use of such third-party services may be subject to separate terms. Syntroper is not responsible for third-party services.
7. No Warranty
To the maximum extent permitted by law, the Extension is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, or uninterrupted operation.
8. Limitation of Liability
To the maximum extent permitted by law, Syntroper shall not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, loss of data, or business interruption, arising out of or related to your use of or inability to use the Extension.
Syntroper’s total liability under this Agreement shall not exceed the amount paid by you (if any) for the Extension.
9. Consumer Rights (New Zealand)
If you are acquiring the Extension for business purposes, you agree that the Consumer Guarantees Act 1993 does not apply.
If you are acquiring the Extension as a consumer under New Zealand law, nothing in this Agreement limits any rights or remedies you may have under the Consumer Guarantees Act 1993 that cannot be excluded by law.
10. Export Compliance
You agree to comply with all applicable export control, sanctions, and trade laws in connection with your use of the Extension.
11. Termination
This Agreement is effective until terminated.
Syntroper may terminate this Agreement immediately if you breach any provision. Upon termination, you must cease all use of the Extension and delete all copies in your possession or control.
12. Governing Law and Jurisdiction
This Agreement is governed by and construed in accordance with the laws of New Zealand, excluding its conflict of law principles.
You submit to the exclusive jurisdiction of the courts of New Zealand in relation to any dispute arising under this Agreement.
13. Entire Agreement
This Agreement constitutes the entire agreement between you and Syntroper regarding the Extension and supersedes all prior or contemporaneous agreements relating to the Extension.
If any provision is held unenforceable, the remaining provisions shall remain in full force and effect.
